Terms of Service

1. Acceptance of Terms

By accessing or using the CREO Films platform — including the website at creo.film, any associated mobile applications, and all related services (collectively, the "Platform") — you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and CREO Films LLC ("CREO Films," "we," "us," or "our"). If you do not agree to these Terms, do not access or use the Platform. If you are using the Platform on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

2. Description of Service

CREO Films is the world's first creator-direct film production platform. The Platform enables individual creators to submit film projects directly to the CREO Films pipeline without requiring representation by a talent agent or affiliation with a production company. CREO Films facilitates project development, co-production partnerships, financing, and global distribution across 138 countries. The Platform also enables qualified investors to participate in film financing through structured investment tiers. CREO Films reserves the right to modify, suspend, or discontinue any aspect of the Platform at any time with reasonable notice.

3. User Accounts and Eligibility

To access certain features of the Platform, you must create an account. You must be at least 18 years of age to create an account. By creating an account, you represent that all information you provide is accurate, current, and complete, and that you will maintain and update this information as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify CREO Films immediately of any unauthorized use of your account. CREO Films reserves the right to terminate or suspend accounts that violate these Terms, contain fraudulent or misleading information, or have been inactive for an extended period.

4. Project Submissions

When you submit a film project through the Platform, you grant CREO Films a non-exclusive, worldwide, royalty-free license to review, evaluate, and share your submission materials internally and with authorized production partners for the purpose of evaluating your project. This license does not transfer ownership of your creative work. CREO Films does not guarantee that any submitted project will be accepted for production, financing, or distribution. All submissions are reviewed at CREO Films's sole discretion. You represent and warrant that your submission does not infringe any third-party intellectual property rights, does not contain defamatory, obscene, or otherwise unlawful content, and that you have all necessary rights to submit the materials. CREO Films is not responsible for unsolicited submissions sent outside the official submission portal.

5. Intellectual Property

The CREO Films Platform, including all content, features, functionality, trademarks, logos, and software (excluding user-submitted content), is owned by CREO Films LLC and is protected by copyright, trademark, patent, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Platform or its content without our written permission. User-submitted content remains the intellectual property of the submitting creator, subject to the limited license granted in Section 4. If CREO Films and a creator enter into a co-production or development agreement, intellectual property rights will be governed by that separate agreement, which shall supersede these Terms with respect to the project covered.

6. Investment and Financial Disclosures

Certain areas of the Platform are accessible only to verified investors. Nothing on the CREO Films Platform constitutes a public offering of securities or financial advice. Investment opportunities presented on the Platform are available only to eligible participants in compliance with applicable securities laws, including Regulation D (17 CFR § 230.506) in the United States. Investment in film production carries significant risk, including the risk of total loss of capital. Past performance of any project does not guarantee future results. All investment disclosures, private placement memoranda, and subscription agreements provided through the Platform are the definitive governing documents for any investment transaction, and these Terms do not modify or supersede such agreements. CREO Films does not act as a registered broker-dealer or investment adviser.

7. Prohibited Uses

You agree not to use the Platform to: submit false, misleading, or fraudulent project information or investment materials; infringe the intellectual property rights of any third party; transmit spam, malware, or any harmful code; attempt to gain unauthorized access to any portion of the Platform or its related systems; scrape, crawl, or otherwise extract data from the Platform without written authorization; impersonate any person or entity; engage in any activity that could damage, disable, or impair the Platform; circumvent any security or access controls; or use the Platform for any unlawful purpose or in violation of any applicable law or regulation. Violation of these prohibitions may result in immediate account termination and may expose you to legal liability.

8. Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. CREO Films DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. CREO Films DOES NOT WARRANT THAT ANY PROJECT SUBMITTED THROUGH THE PLATFORM WILL BE SELECTED FOR PRODUCTION, FINANCING, OR DISTRIBUTION, OR THAT ANY INVESTMENT WILL GENERATE A RETURN. YOUR USE OF THE PLATFORM IS AT YOUR SOLE RISK.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CREO Films, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR ANY OTHER COMMERCIAL LOSSES — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM, EVEN IF CREO Films HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL CREO Films'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO CREO Films IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED US DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON LIABILITY, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

10. Indemnification

You agree to defend, indemnify, and hold harmless CREO Films LLC and its respective affiliates, directors, officers, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: your use of or access to the Platform; your violation of these Terms; your violation of any third-party rights, including any intellectual property rights; any content you submit to the Platform that causes harm to a third party; or your breach of any representation or warranty made herein.

11. Governing Law

These Terms and any dispute arising out of or related to them or the Platform shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions. You agree to submit to the personal jurisdiction of the state and federal courts located in Delaware for the resolution of any disputes arising under these Terms, except where applicable law requires otherwise. For users in the European Union, mandatory consumer protection laws of your country of residence may apply in addition to or instead of the foregoing.

12. Changes to Terms

CREO Films reserves the right to modify these Terms at any time. When we make material changes, we will notify you by email (to the address associated with your account) or by posting a prominent notice on the Platform at least 14 days before the changes take effect. Your continued use of the Platform after the effective date of any revision constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Platform and may request deletion of your account.
